Terms of Service
These Terms govern use of the OverShoulder desktop app and Central Platform service. By creating an account or using the service, you agree to them.
1. The service
OverShoulder provides AI-assisted conversation, screen guidance, and related features. The service is in beta and may change, be unavailable, or contain errors. AI-generated content can be inaccurate and is not professional, medical, legal, financial, or other expert advice. You are responsible for reviewing it before acting on it.
2. Accounts and trial credits
You must provide accurate account information, keep credentials confidential, and be legally eligible to use the service. New eligible accounts may receive 300 trial credits once. Trial and complimentary promotional credits have no cash value and are non-refundable.
3. Central Platform and AI providers
When you use Central Platform mode, your prompt, supplied context, system instructions, and any screen or reference image may transit OverShoulder Central to the AI provider you select. Central does not retain the raw inputs or raw generated response or image after the request. Providers process requests under their own policies, and you are responsible for choosing what to submit.
4. Screen sharing and acceptable use
Screen sharing is enabled only by your action. Do not share passwords, payment data, API keys, confidential information, health information, or content you are not authorized to disclose. You must not use the service unlawfully, circumvent credit or security controls, interfere with the service, or use automated means to consume it excessively.
5. Sharing skills
If you make a skill public, you confirm that you have the right to share it, and you allow OverShoulder and other users to use, copy, and adapt it within OverShoulder. A skill that comes from someone else keeps its original license and credit, and only a skill whose license allows sharing can be made public. We may review, decline, or remove public skills at any time. Do not publish a skill that collects passwords or keys, sends information to others without the user knowing, or tries to override the AI's safety rules. Removing your public skill does not remove copies other users have already installed.
6. Payments, cancellations, and refunds
6.1 Who sells to you. Paid plans and credit top-ups are sold through our reseller and merchant of record, Lemon Squeezy. Lemon Squeezy takes your payment, adds and pays any sales tax or VAT, and sends your receipt. OverShoulder (business registration number 121-33-33112, South Korea) provides the service. Lemon Squeezy's Buyer Terms also apply to your purchase; where this section gives you more than those terms, such as a refund, we honour this section and make the refund through Lemon Squeezy. Nothing in these Terms takes away rights you have under the consumer law of the country where you live.
6.2 Prices, renewals, and credits.
- Prices are shown before tax. The tax for your location is added at checkout and shown before you pay.
- A subscription renews automatically every month and is charged at the start of each billing period until you cancel.
- Each paid plan adds its monthly credits at the start of each period. Unused plan credits end when that period ends. Top-up credits stay on your account, and you can buy them with or without a plan.
- Plan credits are used before top-up credits.
- If we change a price, we will tell you before it applies to you, and ask for your consent where the law requires it.
6.3 Cancelling. You can cancel your subscription at any time in the app under Billing. Your plan stays active until the end of the period you have already paid for, and you won't be charged again. You can undo the cancellation until then. Cancelling doesn't by itself give you a refund (see 6.5 to 6.11).
6.4 Upgrades. When you upgrade (for example, Basic to Pro), the new plan starts right away and your old plan stops renewing; a cancelled plan can be upgraded too. The unused part of your old plan comes off the new plan's first payment as a one-time discount:
- From Basic: what you paid for the current period before tax × whole days left ÷ days in the period. A day that has started counts as a day left.
- From Pro or Deluxe: what you paid for the current period before tax × the plan credits you haven't used ÷ the plan's credits for the period.
6.5 Your refund window. You can ask for a refund of a payment within the window for the country where you live:
- South Korea: 7 days after the day you paid. If your plan or credits were added later, 7 days after the day they were added.
- European Union, Iceland, Liechtenstein, Norway, and the United Kingdom: 14 days after the day you paid.
- All other countries, including the United States: no refund window. We refund only where the law of the country where you live requires it.
The window applies to each payment on its own: a first plan payment, each monthly renewal, each upgrade payment, and each top-up. "Where you live" is the country of the billing address you give at checkout. If you live elsewhere, tell us when you ask.
6.6 How much you get back.
- Pro, Deluxe, and top-ups: amount paid × (credits from that payment not yet used ÷ credits that payment added).
- Basic: amount paid × (whole days left ÷ days in the billing period), counted as in 6.4. A request on the day you paid is a full refund.
- You also get back the same share of the tax you paid. We don't deduct payment-processing or any other fees.
- Credits used are counted up to the moment you ask.
- Free trial and promotional credits aren't part of any payment: they are never refunded, and they are left out of the calculation.
- If an upgrade discount lowered the payment, the refund covers the same share of that discount too, but only the part that matched what you hadn't used of your old plan. The old plan's payment isn't refunded separately, because its unused part already came back to you as the discount.
- Amounts are rounded to the nearest cent.
6.7 Why used credits aren't refunded. Your plan or top-up starts as soon as you pay, because you ask us to start right away.
- EU, EEA, and UK: at checkout you ask us to start before your 14-day withdrawal period ends. You confirm you understand that if you withdraw, you pay for what you've used and get the rest back, and that you can no longer withdraw once the service has been fully provided. If you were not asked for this confirmation, you get a full refund when you withdraw within 14 days.
- South Korea: credits you've already used are the part of the service already provided and can't be withdrawn. You can withdraw for the unused part. You can try OverShoulder free with trial credits before buying.
6.8 How to ask. Email support@overshoulder.ai from your account email with your order number. Any clear statement works; in the EU, EEA, and UK you can also use the form below. Your request counts if you send it before your window ends. We confirm receipt by email.
6.9 What happens next. We issue the refund within 3 business days of your request, through Lemon Squeezy, to the payment method you used. Your bank may take up to 10 days to show it. Unused credits from the refunded payment are removed. If it was a plan payment, the plan ends at once and won't renew. In South Korea, if we refund a withdrawal late, we add delay interest at 15% a year, as Korean law requires.
6.10 After the window. Payments aren't refundable, and cancelling only stops future renewals. This doesn't affect rights you have by law, for example when the service isn't provided or isn't as described.
6.11 Refunds by Lemon Squeezy and chargebacks. Lemon Squeezy may refund a payment under its own policies, and your bank may reverse a charge. If a payment is refunded or reversed for any reason, we remove the credits and plan time it paid for.
Model withdrawal form (EU, EEA, UK). Complete and return this form only if you wish to withdraw from the contract.

7. Ownership and liability
You retain rights in your input to the extent you have them and grant OverShoulder the limited right to process it solely to provide the service. The service is provided "as is" and "as available" to the maximum extent permitted by law. To that extent, OverShoulder is not liable for indirect, incidental, special, consequential, or punitive damages, or for third-party provider outages, errors, or handling practices.
8. Changes and contact
We may update these Terms as the service changes. Material changes will be communicated through the app, email, or this page. Questions can be sent to support@overshoulder.ai.
